Terms of Service
Effective date: March 18, 2026
These Terms of Service ("Terms") govern your access to and use of the Lume platform and website at lumeemr.com (the "Service"), operated by Lume ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
The Service is designed for licensed optometry and optical practices operating in Canada. By using the Service, you represent that you are authorised to act on behalf of the practice you register and that you are at least 18 years of age.
2. Accounts
Access to the Service requires an account. Accounts are created through invitation by a practice Owner or Manager. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately if you become aware of any unauthorised use of your account.
3. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable federal, provincial, or local law or regulation.
- Access or attempt to access another practice's data or another user's account.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to send communications in violation of CASL or other anti-spam legislation.
- Upload or transmit viruses, malware, or other harmful code.
4. Your Data
You retain ownership of all data you enter into the Service ("Your Data"), including patient records, customer information, orders, prescriptions, and insurance records. We do not claim ownership of Your Data.
You grant us a limited licence to host, store, process, and display Your Data solely for the purpose of providing the Service to you. This licence terminates when you delete Your Data or close your account.
You are responsible for ensuring that your collection, use, and storage of patient data through the Service complies with all applicable privacy legislation, including PIPEDA and any applicable provincial health information legislation.
5. Communication Features
The Service includes features for sending SMS and email messages to your customers. You are responsible for:
- Obtaining and maintaining valid consent from your customers in compliance with CASL before sending promotional messages.
- Honouring opt-out requests promptly.
- Ensuring the content of your messages complies with applicable laws.
Lume provides consent management tools to help you comply, but compliance remains your responsibility as the sender.
6. Subscription and Payment
Access to the Service requires a paid subscription. Subscription plans, pricing, and billing terms are presented at the time of purchase. All fees are in Canadian dollars unless otherwise stated.
- Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- Refunds are not provided for partial billing periods.
- We reserve the right to change pricing with 30 days' written notice. Price changes do not apply to active billing periods.
7. Beta Program
During the beta period, the Service may be offered at reduced pricing ("Founder Pricing") or without charge. Beta participants acknowledge that:
- The Service is under active development and may contain bugs or incomplete features.
- Features, pricing, and terms may change before the general launch.
- Founder Pricing, where offered, is locked in for the duration of the participant's active subscription.
- We may collect feedback and usage data to improve the Service.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend access for maintenance, updates, or circumstances beyond our reasonable control. We will provide reasonable notice of planned downtime where possible.
9. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Lume and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.
10. Limitation of Liability
To the maximum extent permitted by law, Lume shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or business interruption.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Lume and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Termination
We may suspend or terminate your access to the Service if you breach these Terms, with notice where practicable. Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
